Sujoy has over 20 years of experience in advising clients on corporate matters. He is the head of C&M’s corporate practice area and primarily focuses on transactional advice. He has advised investors (both corporate and individual), target entities (both established and start-up), and various intermediaries on all aspects of transactions, including mergers, share sales/purchases, asset sales, and buyouts.

 

He also regularly advises clients on complex legal issues such as foreign exchange laws, contractual provisions, and trade laws. His practice areas include advising on setting up business in India, day-to-day business operations, corporate compliance and governance, and business structuring. In addition, Sujoy regularly advises on all types of commercial and corporate contracts. Sujoy also leads C&M’s data and privacy practice and employment practice.

 

Sujoy is a visiting faculty member at the National Law University, Delhi and teaches a course on cross-border transactions to final year students. In 2021, he co-authored a book on ‘International VC Terms’ published by Beck CE.

 

Before joining C&M, Sujoy was a partner in the corporate practice group of J. Sagar Associates and has previously worked with Ashurst LLP in London and Singapore.

Notable Matters: 

 

  • Advised Indorama India Private Limited and Indorama Corporation Pte. Ltd. (its
    parent company) on the acquisition of Grasim Industries Limited’s fertiliser
    business as a going concern on a slump sale basis for INR 2,649 Crores (USD 300
    million).

  • Advised Rashtriya Ispat Nigam Limited on the sale of its Forged Wheel Plant to
    the Ministry of Railways for INR 1800 crores (USD 200 million).

  • Advised Version 1 Solutions on the acquisition of Qubix International. The
    transaction involved a share purchase agreement as well as related
    documentation such as licensing and services agreements.

  • Advised market leading high-end French luxury brand on the exit from a joint
    venture with an Indian entity through the sale of the joint venture company to a
    third-party purchaser. The transaction involved the sale of shares, a termination
    of the existing joint venture agreement and new services arrangements between
    C&M’s client and the third-party purchaser.
